Transfer of XP

I have been given a computer (Asus A7A266 based) that has Windows XP Home
installed. The installation is a bit messed up because some of the programs
were improperly uninstalled but it has SP2 and otherwise seems to work fine.
The computer was built by my nephew for his Dad, and the license still shows
as being in his (nephews's) name.
I would like to set the computer up for my wife. She currently uses Windows
98SE, but I would like to upgrade her to XP if possible. (I have the
original W98 CD).
Questions:
1. Considering it is still in the family, albeit in a new location, are we
supposed to transfer the license?
2. If I do a fresh installation, will it require me to call Microsoft for
permission?
3. What is the best way of moving my wife's programs and files over to the
new machine?
4. Should I install XP over Windows 98SE or do a clean installation?
5. If I decide to just use the present installation, I would have to delete
the programs that will not un-install from the drive. Is there a utility
that would clean up the registry and windows files so as to get close to a
clean system before transferring my wife's stuff?
