XP to upgrade from ME Trouble in River City.

After installing Win XP I received a screen that I should try to restart
using F8, and selecting SAFE MODE. Then I received a screen:
A problem has been detected & windows has been shut down to prevent damage
to your computer. PROCESS1_INITIALIZATION_FAILED.

If problem continuew, disable or remove any newly installed hardware or
software. Disable BIOS memory options such as caching or shadowing.

Technical information:

OX 00000000)

I tried the SAFE MODE 3 times and received the same message as above.....
I have plenty of power on my HP XT858.
I also got 5 pages of an "UPGRADE REPORT" which covered
(1) Hardware that might need additional files, (Kodak, Printer, even my
Westell Modem which works great with ME.
(2)Incompatible software, i.e. Intel Graphics, Iomega stuff,
Norton Disk Doctor, etc.
(3) Update and reinstall things like Norton Systemworks 2004.
(4) No modem detected.......................
(5) and Setup found files on your computer that appear to be a backup of
part of Windows Millennium Edition . Some files in the following folders will
be removed.]:
C:\My Documents........................
Come on ! I never had problems like this before in setting up Windows !
