Formatting XP

I have Windows XP Professional with SP2. I am trying to
format it because I want to install Windows 2000 server.
When I run setup.exe from the Windows 2000 server cd I
receive the message "this cd-rom is from an older version
of windows than the one you are presently using. Setup
functionality will be disabled.
When I try to format the drive using:
Format c: /FS:NTFS /x syntax I receive the message "cannot
lock the drive. The volume is still in use.
Nothing is running and I try to end as much task's as
possible and I still receive the error. How do I get
Windows XP off and Windows 2000 on.
