Update from 98se to XP Pro ?

Is it quite simple to upgrade from Win98se to XP Pro ?

I have to many files and programs installed to backup
and make a clean install. Will XP Pro preserve all my
files if I install it on top of Win98se (I guess some
programs and drivers need to be reinstalled, but...)?
