Don't bother listening to this response below!
XP is far superior to Win98. As long as your system will handle it, I don't
think you will be dissapointed.
Run the upgrade advisor included on the XP cd rom first, too see if you have
any hardware/programs that might cause you trouble. Updated your drivers for
your peripherals to the latest.
Backup any important data files you do not want to lose in case something
does go astray.
With the proper precaution, you will be fine.
