problem with win xp

i have just installed win xp pro and when i start it up i
get 2 errors:

1- LSA Shell (export version) has encountered a problem
and has to shutdown.

2- i get a Status code 1073741819 pop up saying that
c:\windows\system32\lsass.exe has failed and system will
shut down in 60 sec.

this happens ever time i start up my computer.

iwould appreaciate any help.
