Is there a screensaver chosen or is it set to "(None)"? If the screensaver
is set to "(None)", then the "On resume, password protect" field would be
greyed out, since there is no screensaver activated. Perhaps the computer is
set to go into Standby after a certain length of time, and the resume from
Standby is password protected. Open the Power Options applet in Control
Panel, and under the Power Schemes tab, see if there is an amount of time
specified in the System standby field. Then, click on the Advanced tab and
see if there is a checkmark beside "Prompt for password when computer
resumes from standby".

When I go to my screen saver properties, the field that I should be able to uncheck is greyed out which means I cannot disable the password protection. It is very frustrating.
