That's only true in a case where the installation disk is a BIOS locked disk
that doesn't require activation, and any additional hardware changes will be
handled by the OEM. But, if the OEM sells an upgrade installation disk (i.e
upgrade Home To Pro, or 2000 to Pro), then MS is responsible for activation
since that disk cannot be made to the OEM specs of the shipped/purchased PC.
This true, since there will be an activation process with the newer disk,
and that process goes through MS, not Dell, or the OEM.

I have owned Dells for 5 years now, and can tell you that this scenario
applied to me on one occasion, when XP was released in Oct 2001, and I had
the option to get it as a free upgrade from my 2000 version 3 months after I
bought PC; I needed to activate it.
