Install XP Home Upgrade Blocking Issue: Video Card and Motherboard

Maddog Conquerer GEforceFX 4200 Plus
Athalon XP 3200
Nanya 512 Meg DDR

Motherboard: Latest Bios from Manufacturer
Maddog: Latest Drivers for 98 Also tried Nvidia Drivers and Standard
                VGA Drivers

Everything works fine in Windows 98/(all service updates)

I have removed all other cards and disabled onboard items in Bios
I have tried my Girlfriend's way generic Video card
I have tried moving around IRQs

Both MB and VC are Nvidia Chipsets...if they aren't compatible, what
is?

Know I know that some of you are going to jump right in and say "Clean
Install". I urge you to not say that.

Here's why:

The box I have says "UPGRADE"
It cost just over $100 dollars
I have 5-6 years of accumulated software/files some of which I can't
even find the installs for anymore or they are damaged.
It's supposed to work like this. That's what i paid for.
If I can't get this to work like it's supposed to, I'm just going to
have to stick with 98.
