Error message and software not installing properly

My problem is two-fold. First I get a error message that
comes up when I try to shut-down or restart my computer.
It states that it can't shut down because RUNDLL.exe is
running and that shutting down could lose some data. The
next problem that I have is that I have tried to load
software for Activesync. It appears that it installed it
but it won't complete the installation. When I try to
shut down, it gives me a message that by shutting down I
have interupted the installation process and that it will
no longer be installed. I am wondering if the RUNDLL.exe
has anything to do with the reason the software will not
install properly. Any suggestions.
