For XP Pro: Click Start, Run and enter GPEDIT.MSC Go to User Configuration, Administrative Templates, Start Menu and Taskbar. In the right pane, locate Remove and prevent access to the shutdown command. Double click it and set it to Enabled (to enable the policy).
For XP Home (of if you want to enable this on a per-user basis in Pro): See www.dougknox.com, Win XP Utilities, Windows XP Security Console. You can enforce this restriction, and many others, on a per-user basis.
