Icons, taskbar, pointer disappear

AMD Athlon 64 3400+
Kingston 2x 512MB ddr400
Maxtor DiamondMax Plus 9 80GB SATA
Windows XP Home SP2

After fresh installation on new machine, when I shut down the computer at
end of the first session and re-boot, Windows dies. All I get is the desktop
background. Desktop icons disappear, mouse pointer disappears, no "start"
icon, no taskbar, no task manager - can't do anything.

Windows seems to load successfully onto the new machine as I'm able to use
Control Panel and change settings, etc. I can shut down and re-start fine.
But then I load ASUS driver to enable the onboard Ethernet, hook up the
ethernet cable, load SBC Yahoo DSL setup software and log onto the internet.
That's when Windows dies after re-starting.

I've re-formatted the hard drive and reloaded Windows twice, but it's
happened each time. I've been using the SBC software on my old machine (Win
98) for three months without a problem. I called SBC, but they referred me
to the pc vendor (which is me).

Anyone got any ideas?? Thanks alot.
