Check the file permissions for netstat.exe, make sure administrators and
system are added.
Probably one or both of these are missing.
If both are there, try renaming the file to "netstat.old".

<I am trying to install the Windows 2000 Server Service
<Pack 4 upgrade but keep receiving the following error
<message, "The file c:\winnt\system32\netstat.exe is open
<or in use by another application". The only option is to
<cancel the installation. We are currently at Service
<Pack 3.

<I've looked around for a solution to this but didn't find
<one. I find a couple of references to this similar
<problem but there never was a solution listed.
