Upgrading Windows 98 to Windows 2000

i am trying to upgrade a win98 box to win2k. it gets all
the way to the final tasks window. when it gets
to 'upgrading programs and system settings' it goes for a
few minutes and then the computer restarts. when it comes
back up it goes to the same place and will continue in
this loop until i turn the system off manually. anyone
have any ideas?
