Server Locking Up

I have a Windows 2003 DC in a single domain running Exchange 2003. From time
to time, with no apparent reason, the server just slows to a crawl.
Resources spike and you cnanot even click on Start to shut the server down.
I have to reboot the server via the reset button. This is a very
intermittent issue and only seems to happen about once or twice a month.
I have the event logs and anything else that may help. We have even
replaced all memory, motherboard, and processors.
