WinMgmt.exe page faults/sec - lots

Hi,

I have a issue where winmgmt.exe spikes up to 1000+ page faults/sec
frequently then back down but averages at 200-300 a second.

This is on a Windows 2000 server with SP4. SQL Server, and HP
ITO/OpenView monitoring agents. I've checked out perfmon process page
faults/sec and am seeing that the HP process scheduler.exe constantly
has 6 to 7 page faults/sec without break. I found this same behavior on
some other servers. Is this something to be concerned about? There are
2 gigs of memory in each server. I've looked at the rest of the
processes page faults/sec and the only two that stand out with large
numbers are these two. SQLserver is 0 most of time.
