Does this ever boot, if after a very long time? In W2k, when there are
problems with the NIC, there is an exceptionally long timeout that can be on
the order of 15-30 minutes. I would first suggest uninstalling the NIC and
then reinstalling the drivers.

Post more of the logs here and try posting to the active directory group. I
know this isn't exactly on topic, but you'll get wider exposure to the
server crowd.

If all else fails, make sure you have good backups and do a repair of the
OS. (You have an Emergency Repair Disk, right?? make one if you can!)
Insert the OS CD and boot from that, telling the installation to repair.

Finally if this doesn't work you can try re-installing the OS on top of
itself. This will result in some loss of patches and setups, but should
still keep the system running if you didn't wipe the drive.

These last two are at your own risk. If this is impacting your business, I
would suggest spending the cash and opening a case with Microsoft.
