Win Min Exe error on shutdown + Home page reset on reboot

I get this Win Min exe error on shutdown and on every
reboot my IE home page gets reset to some search page.
Tried cleaning PC (Win2K) from spyware using spybot, but
it did not help. Did detailed search to find what was
causing this but no luck. Any idea.
