could some one please help me i am the New IT manager of a large
mission critical business the old IT Manager has left and i Need To
Change the Password on the server but i cannot find how assistance
would be greatly appreciated

You need to go on a Windows 2003 management course (of some description)
ASAP. No I can't advise on the best, but if you avoid the certification
route then you can cover much more with fewer courses.

To change the administrator password:

1. Log on as the administrator.
2. Control-Alt-Del
3. Click [Change Password...]

or

1. Log on to the/a domain server (using any account with administrative
rights)
2. Start > Administrative Tools > Active Directory Users and Computers
3. Expand your domain, and navigate down to where the administrative account
is in the tree. The default would be under <your-domain>/Users, but accounts
can be moved so it may be under somewhere else.
4. When you find the account, right click it and select "Reset Password..."

Be aware that if any services (or scheduled jobs) use the administrator
account (they shouldn't but it often happens) then changing the admin
password will prevent those services from starting. So keep an eye open on
things that may break over the next few days after changing the password -
might also be worth rebooting your servers at some point just to see what
doesn't start.

If your old IT manager has left, you might want to also consider which
accounts have dial-in/vpn access and review those too.

Changing passwords is one of the simpler bits of managing a windows
2000/2003 server/domain. You must get yourself trained - or buy a few good
books - but even then don't expect everything to be covered.
