Install failed on .Net Framework 2.0 Beta

During Visual Studio 2005 Setup... I'm getting "the following component
failed to install -- Microsoft .NET Framework 2.0 Beta", I'm running Win XP
Pro SP2.

I've tried all the typical stuff, log on as Admin of local machine, no other
programs or services running, cleared Temp directory etc.
