Change a binary version

I'd like to change a version of a binary that is compiled
via Visual Studio.Net.
I found 2 ways to do it:
1. By opening the file as a binary, searching for the
version and changing it manually.
2. By opening the file with resource editor and change the
version through the resource editor interface.
While the second option is much more comfortable to use, I
also noticed that it changes much more places in the
binary in comparison to the first one. If anybody knows
about the reason for this difference I'd be much obliged
for the information.
