Just request the 64-bit version DVD from Windows; they will not charge for it except maybe shipping.
You cannot 'upgrade' the current 32-bit installation with a 64-bit version. You will have to do a clean installation of Windows. This will mean re-installing all your apps and perhaps installing some 64-bit drivers.
So line up the 64-bit drivers for the laptop beforehand - burn them to disc. They should be available from the laptop manufacturer's website. Also make sure you have all necessary product keys for your apps handy. If you use dial-up make sure to get your phone numbers etc. etc. etc.
Also, consider using Windows Easy Transfer. It is built into Vista and can help with the change over - look into it.
Windows Vista 64-bit will use the SAME product key as the 32-bit version as long as you install the same SKU i.e. if you had Vista Home Basic 32-bit, the same product key will work for Vista Home Basic 64-bit and so on.
