I was assuming a "normal" Excel file.

The original poster said nothing about linked xls are any other
complication.

What about linked xls? What if more than 1 user creates a linked xls file
on their pc, how are changes handled and merged (excluding changes to same
fields for this exercise/query).

Example: User 1 and User 2 both create linked xls files. Both users close
xls. User 1 adds new rows within the exsiting columns within his local xls
file. User 1 "syncs" the local xls with SP and closes his xls file. User
2 opens his local xls, his copy does not contain the new rows. He "syncs"
the xls file....... presumably the new rows will be added? Or will the
omission of the rows in User 2's xls wipe the rows from SP?

The best way is to create a WSS List from that Excel file (a standard
function in the WSS UI when choosing Create) and then have users access
and amend that.

They could then for instance amend different rows at the same time with
no conflicts.

(There are many more usability functions too)

We have Windows 2003 Server with Windows Sharepoint Services installed.

The Clients all have Windows Xp Pro SP2 and Office 2003 Professional.

We have a Excel file that needs to be accessible to several users and
they
need to be able to open it up at the same time and edit it.
Is this possible in Sharepoint? and if so how do I configure it?
