Thanx ... you're a legend ... first option worked great!!!
Any idea why this option affects the setup and was set to 0 on my
machine?

I also had to struggle with this strange error during the installation
of SQL Server 2005 SP1 Express Edition on a (almost) clean Windows XP
SP2 computer.
There are two changes I made on the setup/PC when I finally get rid of
the error. I had not time to uninstall and try again to narrow the
solution to a single action:
1) re-enabled "Administrative Shares" (see the key
HKEY_LOCAL_MACHINE\System\CurrentControlSet\Services\LanmanServer\Parameters;
the value for AutoShareServer must be 1) & reboot
2) on "Service Account" installation wizard page I choose not to start
any service at the end of installation (by default, "SQL Server" was
checked).
My guess is 1) did the trick.
