Ok, I agree, this is a complicated issue; however, FAQs are for simpletons
in that they are merely interpretations. If you are concerned with wether
or not you are compliant, that is a matter of law, and you are bound to the
terms of the EULA (End User License Agreement). In this document, which is
provided on any licensed media, it clearly states, in 1.a.iii. for CAL-based
installations and 1.b.iv. for Per-processor-based installations.
1. a. GRANT OF LICENSE -"PER-SEAT". Microsoft grants you the following
rights provided you comply with all terms and conditions of this EULA:
iii. Installation Of Server Software On Passive Fail-Over Server. If
the Server Software is used in a clustered environment, you may use the
Server Software on a temporary basis on a Server that is employed only for
fail-over support.
OR
b. GRANT OF LICENSE - "PER PROCESSOR". Microsoft grants you the following
rights provided you comply with all terms and conditions of this EULA:
iv. Installation Of Server Software On Passive Fail-Over Server. If
the Server Software is used in a clustered environment, you may use the
Server Software on a temporary basis on a Server that is employed only for
fail-over support (the "Passive Server") so long as the number of processors
on the Passive Server does not exceed the number of processors on your
primary active Server.
