On the first scenario, it's probably stopping on the file after AGPCPQ.SYS,
which would be the HAL. What models of machines are you using? The
symptoms match those of a HAL mismatch. (Hyperthreaded desktops and all but
the latest laptop models use different HALs.)

ON the second scenario, I think we need more details. How are you
installing the IBM power management drivers? What does the Sysprep.inf look
like?
