Pros: Your resources, and inventory data will be replicated to the new
parent site.
Cons: Your resources and inventory data will be replicated to the new
parent site. I have to discute with Jeff, which I would like to avoid

Really, I would lean more to considering this a con, than a pro, but it
really depends on your environment. If you have a really clean sms 2.0
database without any duplicate records, or any records for death
resources I guess it could be a Pro I guess.

One console, with two connections in it, it will have to be an sms 2003
console.

You should be able to connect an sms 2.0 SP3 site, but as already
specified I would advise againt it.
