FOUND IT!

What we did was
1. Uninstall Project 2002 Server
2. Update Windows Script Host - Restart
3. Re-install MDAC 2.8 - Restart
4. Re-Install XML 4.0 - restart
5. Reinstall/setup Project 2002 server using the attach to existing db
6. restart

After analysis of servers that were and servers that were not
experiencing the issue, we determined that the Windows File Protection
scheme was preventing many many files from being installed but the
install did not tell us!!!!!

So we installed then restarted each item.

All is well now.
