I uninstalled the whole darn package hoping this would solve the problem then reinstalled, and still get the same nice little error, and same logs.

Now that you've done that, I'd like to check whether or not your 'Windows Portable Device' driver is getting installed when you connect your device. Please connect your device, repeat this step (below) that I gave you earlier and let me know the outcome.
In Device Manager (devmgmt.msc) with device connected, do you also see a category called "Portable Devices"? If so, does it contain an entry called "Windows Mobile device"?
If it DOES contain the entry called "Windows Mobile Device", please try the following in an attempt to work around this problem. Let me know if this eliminates your problem.
1. Connect your device.
2. Go to Device Manager (Computer > Properties) and find the Portable Devices node
3. Locate the Windows Mobile device entry.
4. Choose to uninstall the driver
5. Reconnect your device
If it does NOT contain the entry called "Windows Mobile Device", you will need to enable logging for WMDC on your PC in order to further diagnose this error. In order to do this, see the instructions at the link below.

So your device "RNDIS" driver is installing as expected and you get the password prompt. But when you enter the device password as requested, nothing else happens at that point, correct? That sounds symptomatic of a possible firewall issue. Are you running any firewall software on your Vista machine other than the standard Vista Firewall?
If you are running firewall software, you may need to configure it to allow WMDC to connect. See http://www.pocketpcfaq.com/faqs/wmdc/firewall.htm

Just need some background information related to your setup here.
- You are attempting to connect over USB, correct?
- Connect your device and open Device Manager (devmgmt.msc). Expand the 'Network Adapters' category. Do you see a device entry called "Microsoft Windows Mobile Remote Adapter"?Yes- In Device Manager with device connected, do you also see a category called "Portable Devices"? If so, does it contain an entry called "Windows Mobile device"?No- With device connected, open 'Start -> Computer'. Do you see your device represented under a category called "Portable Devices"?NoProvide these answers and we should be able to continue troubleshooting your issue from there.
