ActiveSync after a device restore doesn't sync.

Hi,
I've been searching everywhere for some way to solve this without cleaning the device...

Ok here's the problem:
My IPAQ 3870 ran out of battery.
Since i backup once every few weeks - no big problem.
connected to ActiveSync in guest and restored.
device up and running - everything's great.
I tried to setup a partnership, and here's the problem,
everything goes well, i see the device searching for changes and then i loose the connection.
Tried messing with the plugins (as in - calender, contacts etc...), no change. even tried removing them all - always the same problem.
starts syncing - shows the searching for changes message and looses connection.
on the IPAQ i see that it's searching for changes, and then it either exits the ActiveSync or goes to background... (have no idea how to see the running tasks on the IPAQ itself.) so it might be crashing.
No idea.

Tried also syncing with another computer.
both have no firewall (well, one did, exited of course), no virus scanner in the way etc...

now what i'm doing is i run Intellisync while in guest mode so i can at least sync my contacts, calender and tasks. but i need my notes etc...

Anyone have any idea what would be my next step? is there some file that ActiveSync writes to on the IPAQ that maybe i can enable in the registry or some other way to debug what's going on... ?
(again - Really trying to Not clear the device - which would probably fix it)
Also, is there anything i can use that would allow me to live Totally without ActiveSync?
