Run Help | Check for Updates at least twice, until Office is at 12.1.1, then try again.
If that doesn't do it, you'll need to give more details to get help. All files or just this file? Is this file on a server? Did you copy it from another machine, hard drive, or CD? Is it Locked when you do a Get Info in the Finder?
