Jens's suggestion is correct, stop any 3rd party process/app that use ISA
binaries.
If this doesn't help please follow up KB
http://support.microsoft.com/kb/885957/ instruction to run the SP2 package
with log file to be able to understand the failure better (From command line
run: Msiexec /p <SP2_PackageName>.msp REINSTALL=ALL REINSTALLMODE=omus
/l*vx! Logfile_Name.log)

is there any Third Party Software on ISA that installs it's own web- or
application filters? If yes, try to deactivate the filter before update
with SP2. If this still not resolve the problem try to uninstall the
filter software and after applying SP2 try to reinstall the
filter/software.
