Web proxy chaining between MS Proxy 2.0 and ISA 2004

We have a lot of MS Proxy 2.0 installations in our branch offices configured
as downstream proxys connected to an array of 2 upstream servers, also MS
Proxy 2, at our central location.

We will soon be in the process of migrating to ISA 2004 and we were
wondering if it would be best to migrate the upstream or the downstream
servers first?
Also is anyone aware of any compatibility issues between the two products?
