That download mentions that it won't install on machines with Outlook or Exchange server installed. So it doesn't replace the version installed by the Office CD's, which is the client side version of CDO 1.21.
Although, since it's the server side version it doesn't have the limitations of the client side version in relation to the Outlook object model guard.

Actually as of earlier this month, the Microsoft Exchange Server MAPI Client and Collaboration Data Objects 1.2.1 download was made available. So this give you another way of getting the MAPI and CDO 1.21 bits on to your client machines. So instead of having to use just the Outlook client or the Exchange ESM installs you can now also use this download as another alternative.
