Move domain controller E2k server to member server

Hi there.

I have enterprise E2K on W2K. I would like to move exchange from DC
to a member server on a newer hardware and don't know what all to do,
I searched the news groups and found many instances of 5.5 to e2k
migration but nothing on how to move e2k dc to a member server. My
domain config is as;

1) Enterprise E2k a DC (I also have another DC in the same domain)
2) 2 more exchange servers in China & U.K. All in the same forest but
in
  different domains
