In your case you should be able to reinstall the OS on the existing
box.
The system state backup is probably too old so you can join it to the
domain with the same name and then bring up to the right service pack
level.
do the exchange install with the /disaster recovery switch and bring
to service pack level.
Take a good look at
http://support.microsoft.com/default.aspx?scid=kb;en-us;326052 as it
gives advice on what to do for a number of scenarios. You should be in
good shape if you have viable stores and logs already on the server.
