Upgrading Active Directory on Windows 2000



I am working on an Exchange migration project. The entire network is at
Windows 2K/SP4 and Exchange 2K/SP3. One of the first steps in the project
plan is to update Active Directory to 2003. Can this be done on Windows
2000 or is it mandatory to upgrade to OS to Windows 2003 Server as well? I
am pretty sure people have told me that AD 2003 will run on Windows 2000/SP4
but lately some people have said that the OS must also be upgraded as well.
