AD Problem

I have windows server 2003 and exchange 2003 running on the same server also this server is my PDC.
Problem: When trying to promote another server to domain controller I get a schema master error, bascically its saying that the schema's are too different to replicate to the new server and the task ends.
Question:1.Is this because I am running exhange 2003 on this server and the DB is too different to promote another server to DC status?
2.What can I do to remedy this problem?
Any help would be greatly appriciated!
