You cannot upgrade the Windows to 64bit because the Exchange 2003 will
not run on the 64bit Windows. You would need to go with Exchange 2007
on Windows 2003/2008 64bit.
What is it you're trying to do though? You're asking about the server
and the storage.
The Exchange 2003 server can simply have a new drive installed in it,
preferably a (hardware) mirrored pair that gives you some resiliency.
If you can fit the new drive then do so, power the server, configure
it and then use the Exchange System Manager to move the Information
Store to the new drive letter. If you cannot add a new data disk(s)
then you will want to stop all the Exchange services, backup the whole
disk to somewhere, probably on the network and then replace that disk.
As long as the new disk has the same drive letter as the old one
you're ok.
That's the high level view. As you see there is more information
required before you can be given the best way forward.
