Licensing questions are best answered by your software vendor or Microsoft rep.
Having said that, don't think this is an issue. Downgrade rights allows you to license a current SKU and install a previous version that's no longer being sold, till you're ready to upgrade. As long as you don't run both versions simultaneously (i.e. get license for one product and use both), you should be OK.

We want to install Exchange 2003 (migrating from Exchange 2000, Windows 2000
domain).
The product Exchange 2003 is no longer available from Microsoft. So we have
purchased Exchange 2007 CDs, Keys, CALs.
May we install Exchange 2003 instead and how to proceed with Microsoft in
