MSExchangeSRS / failed to install service

Dear All,
I have an Exchange 5.5 on windows nt4.0 server in a Win2003 native
environment.
I am installing Exchange server 2003 on a windows 2003 Server , coexists
with Exchange 5.5 in the same Organization, and durring the installation I am
getting the following error message:

Setup failed while installing sub-component Site Replication Service with
error code 0xC1037B0C ( please consult the installation logs for a detailed
description). You may cancel the installation or try the failed step again

In the Exchange installation setup log I have the following:

At the Win2003 Event log I have the following :
1) Event id: 1400 Source: MSExchangeSRS Category: (9) ( description cannot
be found) - This is a Warning
2)Event id: 1002 Source: MSExchangeSRS category (9) (description not found
) --- This is an error


Could you please instruct me on solving that urgent issue?
By the way, there are no connectivity problems between the two servers. They
are at the same LAN, can ping each other, resolve NetBios and FQDN names, no
network errors.
