Exchange 200x cannot function without Active Directory. If you want, you
could make it a DC for a new domain in a new Forest and put it in the DMZ,
but not really recommended. If you do go that route, it's highly recommended
to not use it as a FTP server.
If you just want something like POP mail, Windows Server 2003 has that
functionality.
