If the two locations are conencted by a hardware based vpn then you
should just install their DC into the same domain as yours, then
configure replication to occur at set times (if you have bandwidth
issues, otherwise don't bother)
Decide what you want to do with AD first, don't even think about
Exchange just yet, you're not ready for that planning stage yet.
