Win 2003 Server question w/Exch 2003

I am ADDING a Windows 2003 Server to a network with NT 4.0 servers. On this server will be Exchange 2003. (We can not upgrade the other servers at this time)

PDC is NT 4.0 SP6
Have single domain

Will I need to set up second domain?
Will Active Directory need to be running on Windows 2003 Server?
If so won't this server have to be the PDC?

Please help - we had a Exchange 5.0 server that crashed and I need to get this up and running soon. Users are mad that we lost everything. HELP
