I found MS KB Articles 318731

Thsi article almost references the exact error we are
getting, almost. The article discussess setup failing,
but because of a COM+ issue. What made me keep
investigating this path was a single COM+ error in the App
log, which actually referenced the DTC service and
suggested verifying it running. Well, it wasn't, and I
couldn't start it.
Well, I'm installing in a cluster, and when you begin
Exchange setup, if on a clustered machine, you are
required to setup a DTC resource for the cluster. We had
done that after the first message, which setup will not
proceed, by the way.
OK so we create the resource, and as the documentation for
Cluster Exchange state (at least in the training manual),
all cluster resources should be moved to the non-
installing node, which they were.
That brings us to this error I made the post about. I
took a chance and failed the MS-DTC cluster resource to
the server i am installing (and getting the error on),
press the retry button, and viola!
Setup has completed successfully.
Now, I may have created a whol host of other issues, but I
guess only time will tell on that one.
