Forest Prep fails

I had successfully installed Exchange 2003 standard when
it was decided that we should be using enterprise edtn. I
uninstalled the standard version but when I try to install
enterprise it fails during forest prep. While it
is "configuring registry entries for Microsoft windows
active directory schema update" it seems get stuck then
craps out with the error: "A problem has been encountered
in the Microsoft exchange forest preparation setup
component. Cancalling Setup."
The account I am using is a Member of: domain admin,
schema admin & enterprise admin. I ran forest prep on the
schema master with the same result. The mail server is a
DC. The server is W2K with SP4
Any idea's?
