upgrading to exchange 2003

i currently have an NT4 domain and am running exchange 5.5
on an NT4 server that is also a backup domain controller.
what are the upgrade options?. most upgrade scenarios i
have seen don't have an NT4 exchange 5.5 BDC. i was hoping
to upgrade my PDC to win2003 and then install a new
exchange 2003 server in the same site, but i don't think i
can install exchange 2003 in an environment that contains
an NT4 DC. i do not want to do an inplace upgrade due to
risks in case it doesn't work out.
