Hi Jay,
If you're concern over the network traffic over the VPN connection (either
due to other application sharing the same network pipe) you may want to look
at RPC over HTTP. I don't know at the top of my head now whether you would
require to upgrade to Exchange 2003 Enterprise Edition but check out the
link below.

Few things you need to consider,

- number of users in the other domain
- determine the mail client profile - how many times a typical user logons,
send and receive messages, (see
http://www.microsoft.com/exchange/techinfo/outlook/CliNetTraf.asp)
- network connection to the internet from the domain where Exchange
currently resides.
- a list/audit of the types of mail clients at the remote domain. The caveat
for RPC over HTTP is that all your mail clients would have to run Outlook
2003.
