Hi,

You don't want to move anything other than the mailboxes.

Create a new mailstore in the same or another Storage Group and mount it.
From there simply move mailboxes using the Exchange Task wizard.

In regards to your database question, 5 Databases per Storage Group with a
maximum of 4 Storage Groups for Exchange 2003 Enterprise.
