I have also the same problem. Did you find any solution to keep SharePoint
Service 3.0 on the same server and have it working?

OWA is still working it is just Outlook over HTTPS that has stopped and
there are the exceptions in the event log as detailed by Chris.

I yesterday did an inplace upgrade of Windows SharePoint Services 2.0
to 3.0 which runs on the same server as Exchange. RPC over HTTPS was

Exchange functionality seems to be OK including OWA access over an SSL
